Wholesale & B2B Addendum
Africanada Foods
This Wholesale & B2B Addendum (“Addendum”) supplements the Terms of Service of Africanada Foods and applies to all wholesale, bulk, case-pack, and business-to-business (“B2B”) purchases made through www.africanadafoods.com or via direct business arrangements.
By placing a wholesale or bulk order, you agree to the terms outlined below in addition to our standard Terms of Service.
1. Eligibility for Wholesale Purchasing
Wholesale and bulk purchasing is intended for:

Distributors
-
Food service providers
-
Buying groups
-
Small businesses and organizations
Africanada Foods reserves the right to approve, limit, or decline wholesale access at its discretion.
2. Pricing & Minimum Orders

Wholesale pricing is provided per case pack only.

Unit-level pricing is not available for wholesale orders.

Minimum order quantities may apply and are clearly stated on product pages or during checkout.

Prices are subject to change without notice and may differ from retail or marketplace pricing.
3. Orders, Payment & Taxes

Full payment is required before order fulfillment unless otherwise agreed in writing.

Applicable taxes are calculated at checkout based on shipping destination and local regulations.

Africanada Foods does not offer resale tax exemption processing unless explicitly agreed in advance.
4. Shipping, Delivery & Risk

Shipping timelines are estimates and not guaranteed.

Risk of loss transfers to the buyer once the order is handed over to the carrier.

Buyers are responsible for providing accurate shipping and delivery information.
Africanada Foods is not responsible for delays caused by carriers, customs, weather, or incorrect address details.
5. Returns, Refunds & Claims
All wholesale and bulk orders are final sale.
We do not accept returns or issue refunds for:

Change of mind

Overstocking or slow-moving inventory

Pricing differences across platforms or retailers
In the event of damaged or incorrect shipments, buyers must notify us within 48 hours of delivery with supporting photos. Approved claims may result in a replacement or credit at our discretion.
6. Product Handling & Storage
Wholesale buyers are responsible for:

Proper storage and handling of food products

Compliance with local food safety regulations

Ensuring products are sold before expiry dates
Africanada Foods is not liable for losses resulting from improper storage or handling after delivery.
7. Brand, Marketing & Resale Restrictions
Wholesale buyers may not:

Alter packaging, labeling, or branding

Make unverified health or nutritional claims
-
Misrepresent product origin or ingredients
Use of Africanada Foods trademarks, logos, or marketing assets requires prior written approval.
8. Marketplace & Channel Considerations
Wholesale approval does not automatically grant permission to sell on third-party marketplaces (e.g., Amazon, Walmart) unless explicitly authorized.
Africanada Foods reserves the right to protect its brand, pricing integrity, and distribution channels.
9. Governing Law
This Addendum is governed by the laws of Canada, and disputes shall be resolved in accordance with those laws.
